1. Agreement to Terms
By accessing or using the LumaBill platform (the “Service”), you agree to be bound by these Terms of Service. The Service is provided by SANC AG, Binzstrasse 16, 8712 Stäfa, Switzerland. If you do not agree to these terms, you may not use the Service.
2. Description of Service
LumaBill is a Swiss business management platform that provides:
- Invoicing: Creation and management of invoices and offers, including Swiss QR-Bill generation compliant with the ISO 20022 standard, email delivery, recurring invoices, and online payment collection via Stripe.
- Bookkeeping: Expense tracking, double-entry ledger, chart of accounts, bank statement import (CAMT.053/CAMT.054, CSV), bank reconciliation, financial reports (Profit & Loss, Balance Sheet), VAT reporting, fiscal year management, and GeBueV-compliant audit export.
- AI-Powered Features (optional add-on): AI-assisted receipt scanning, expense categorization, and bank transaction matching.
The availability of specific features depends on your subscription plan.
3. User Accounts
You must be 18 years or older to use the Service. You are responsible for safeguarding your password and maintaining the security of your account. You must notify us immediately of any unauthorized use. You may create multiple business profiles under one account, subject to the limits of your subscription plan.
4. Fees and Subscriptions
- Starter Plan: Includes unlimited Swiss QR-bill invoicing, offers, expense tracking, and one business profile. The current price is CHF 9/month or CHF 90/year.
- Pro Plan: Adds double-entry bookkeeping, up to 5 business profiles, CAMT bank import, profit & loss and balance sheet reports, and fiscal year close. The current price is CHF 19/month or CHF 190/year.
- Pro + AI Plan: Adds AI expense categorization, AI bank transaction matching, AI receipt scanning, email inbox import, and priority support. Includes a monthly quota of AI credits (currently 100 per month, shared across all profiles on the account). The current price is CHF 29/month or CHF 290/year.
- Additional Profiles: Extra business profiles beyond those included in your plan may be purchased at an additional monthly fee.
- Free Trials: We may offer free trial periods for paid plans. At the end of a trial, you will be charged unless you cancel before the trial expires.
- Billing: Payments are processed by Stripe. All prices are in Swiss Francs (CHF) and exclude applicable taxes unless stated otherwise.
- Price Changes: We reserve the right to modify prices with at least 30 days' notice. Price changes apply to the next billing cycle after the notice period.
- Cancellation: You may cancel your subscription at any time. Your access to paid features will continue until the end of the current billing period. No refunds are provided for partial billing periods.
5. AI Features — Special Terms
The following additional terms apply if you subscribe to a plan that includes AI features (Pro + AI):
- AI as Assistance: AI features (receipt scanning, expense categorization, transaction matching) are provided as assistive tools only. AI-generated suggestions are proposals and may contain errors. You are solely responsible for reviewing, confirming, or rejecting every AI suggestion before it is applied to your records.
- No Accounting Advice: AI outputs do not constitute accounting, tax, or financial advice. They do not replace professional judgment by a qualified accountant or tax advisor.
- Quota: AI usage is subject to a monthly quota. Unused credits do not carry over to the next month. We reserve the right to adjust quota limits with reasonable notice.
- Data Processing: When you use AI features, relevant data (e.g., receipt images, expense descriptions, transaction details) is sent to our AI processing infrastructure (AWS Bedrock, EU region) for analysis. This data is not used to train AI models. See our Privacy Policy for full details.
- Availability: AI features depend on third-party AI infrastructure and may occasionally be unavailable or experience degraded performance. We do not guarantee uninterrupted availability of AI features.
6. User Content and Data
- Ownership: You retain all ownership rights to the data you create, upload, or import using the Service, including invoices, financial records, receipts, and business documents.
- License: By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service.
- Backups: While we maintain regular backups, we strongly recommend that you regularly export and back up your invoices, financial records, and other important data. You can export your data at any time through the Service.
- Data Portability: You may export your data in standard formats at any time while your account is active.
7. Data Retention and Account Termination
- Your Retention Obligation: Swiss commercial law (OR Art. 958f) and the Ordinance on the Keeping and Preservation of Business Books (GeBüV) require you, as the merchant or business operator, to retain your business books and accounting records for 10 years from the end of the fiscal year to which they relate. This duty is non-delegable (OR Art. 716a) — it rests with you, not with us as your software provider. LumaBill provides export functionality (PDF, CSV, and per-fiscal-year audit export) so that you can comply with this obligation. We strongly recommend that you export and securely archive your records on a recurring basis and before any cancellation.
- Cancellation: You may cancel your subscription at any time via the dashboard. Cancellation takes effect at the end of your current paid billing period; you retain full access until then. Before final cancellation, you will be prompted to download a complete export of your data and to acknowledge your retention obligation under OR Art. 958f.
- Reactivation and Export Window: After the end of your paid period, your account enters a 60-day reactivation window. During this window you retain read-only access — you can log in, view, download, and export all your data, and reactivate your subscription with one click. We will send reminder emails at the start of the window and again 30, 55, and 59 days in, each containing a direct export link.
- Permanent Deletion: At the end of the 60-day reactivation window, your account and all associated data — including invoices, expenses, journal entries, profiles, attachments, and personal information — are permanently deleted from our production systems.
- Backups and Paid Restoration: LumaBill retains encrypted database backups for up to 35 days after deletion. During this window, restoration is possible on written request for a flat fee of CHF 500, subject to technical feasibility. After 35 days the backups expire and restoration is no longer possible by any means.
- Right to Deletion (FADP/GDPR): You may at any time request immediate deletion of your personal data under the Swiss Federal Act on Data Protection (FADP) or the EU General Data Protection Regulation (GDPR). Verified requests are honored within 30 days regardless of subscription state and override the default 60-day window described above.
- Service Discontinuation: In the event that we discontinue the Service, we will provide at least 90 days' notice and ensure all users can export their complete data before the Service is shut down.
8. Bookkeeping and Financial Features — Disclaimer
The bookkeeping and financial reporting features of LumaBill are provided as tools to assist you in managing your business finances. They are designed to follow Swiss accounting standards (including the Swiss KMU chart of accounts) but:
- LumaBill does not provide accounting, tax, legal, or financial advice.
- You are responsible for the accuracy and completeness of your financial records.
- You are responsible for compliance with applicable tax laws, VAT obligations, and financial reporting requirements.
- We recommend consulting a qualified accountant or tax advisor for complex accounting matters, year-end closing, and tax filings.
- GeBueV-compliant audit exports are provided as a convenience feature. We do not warrant that they will satisfy all regulatory requirements in every circumstance.
9. Acceptable Use
You agree not to use the Service to:
- Create fraudulent invoices or financial records
- Engage in money laundering, tax evasion, or other financial crimes
- Violate applicable laws or regulations
- Upload malicious content, viruses, or harmful files
- Attempt to gain unauthorized access to the Service or other users' data
- Resell, sublicense, or redistribute the Service without our written consent
We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on the severity of the violation.
10. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied. SANC AG does not warrant that the Service will be uninterrupted, error-free, or free from harmful components. SANC AG accepts no liability for any loss of data, invoicing errors, or inaccuracies in bookkeeping calculations.
11. Limitation of Liability
To the maximum extent permitted by Swiss law, SANC AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, resulting from your use or inability to use the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless SANC AG, its officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
13. Changes to the Terms
We may update these Terms from time to time. We will notify registered users of material changes at least 30 days before they take effect via email or in-app notification. Continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must discontinue use of the Service.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely achieves the original intent.
